Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and whyuascii LLC ("whyuascii", "we", "us", or "our"), the company that operates Thrivin Hive and the websites at thrivinhive.com and app.thrivinhive.com (together, the "Service"). They govern your access to and use of the Service.
By creating an account, joining a household, joining the waitlist, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of a household or family, you represent that you are authorized to accept these Terms for the people you invite. Please read Section 15 (Dispute resolution) carefully — it requires most disputes to be resolved by binding arbitration on an individual basis and waives your right to a jury trial and to participate in a class action.
Early access and changes
Thrivin Hive is offered in early access and is under active development. Features may be added, changed, limited, or removed, and the Service may contain bugs or be unavailable at times. Early-access features are provided on an "as is" and "as available" basis, may be less reliable than generally released features, and may not be final.
We may set or change limits on the Service (such as storage, number of members, or usage) and may introduce, modify, or discontinue paid features at any time, consistent with Section 6 (Plans and billing).
Eligibility and family use
You must be at least 18 years old (or the age of majority where you live) to create an account and start a household (a "Hive"). Thrivin Hive is designed for families and shared homes, so an adult account holder may add other members, including minors, to their Hive.
If you add a minor to your Hive, you represent that you are their parent or legal guardian, or that you have permission from a parent or guardian, and you are responsible for their use of the Service and for any information you enter about them. You are responsible for supervising minors' use of the Service and for the choices you make about what information to store and who in your Hive can see it.
The Service is not directed to children under 13, and children may not create their own accounts.
Your account and your Hive
You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us promptly at hello@thrivinhive.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account that results from your failure to keep your credentials secure.
A Hive is a shared workspace. The member who creates a Hive, and any members they promote to an admin role, can manage members, roles, and settings — including inviting or removing people and controlling what is shared. Different roles see different information, and some records (for example, private journal entries and certain emergency records) are restricted by design. You are responsible for the members you invite and for managing their access appropriately.
Acceptable use
You agree not to use the Service to:
• break the law, or infringe anyone's rights, including privacy and intellectual-property rights; • upload content you don't have the right to share, or that is unlawful, harmful, harassing, hateful, or abusive; • access, collect, or store another person's information without the right to do so; • probe, scan, overload, or disrupt the Service, or attempt to bypass its security, access controls, or usage limits; • use bots or automated means to access the Service except through interfaces we provide; • reverse engineer the Service except to the limited extent the law expressly permits; or • use the Service to build a competing product, or resell or sublicense the Service.
We may investigate, suspend, or limit accounts that put the Service, other users, or their data at risk.
Your content and data
You keep all rights to the content you add to the Service — your tasks, meals, notes, lists, calendar events, documents, and records ("Your Content"). We do not claim ownership of it.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, back up, transmit, and display Your Content, and to transmit it between the members of your Hive, solely to operate, secure, maintain, and improve the Service and to provide it to you. This license ends when you delete Your Content or close your account, except for backups kept for a limited time and anything the law requires us to retain (see Section 13).
You are responsible for the accuracy and legality of Your Content and for having the right to store information about other people that you add. You represent that Your Content and your use of it do not violate these Terms or any law.
Plans, billing, and cancellation
Thrivin Hive offers a free tier and paid subscriptions. Paid features and prices are shown at the point of purchase, in your local currency where available, and exclusive of taxes unless stated.
Web subscriptions are billed through our payment processor, Stripe. Mobile subscriptions purchased through an app store are billed by that store (Apple or Google) under its rules, including how free trials, renewals, cancellation, and refunds work; for those purchases, the store's terms control billing.
Unless stated otherwise, subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. You can cancel anytime; cancellation takes effect at the end of the current period, and you keep paid access until then. Except where the law or an app store requires otherwise, payments are non-refundable and we do not provide partial-period refunds. If a free trial is offered, we will disclose its length and terms before it starts, and it converts to a paid subscription unless you cancel before it ends. We may change prices with at least 30 days' notice for the affected subscription; changes apply to the next billing period, and your continued use after they take effect is acceptance.
Third-party services
The Service relies on third parties to function — for example, cloud hosting and storage, payment processors, analytics, and email delivery. How they handle personal data is described in our Privacy Policy, including a list of sub-processors.
The Service may also let you connect optional outside services (such as an external calendar). Those services have their own terms and privacy practices, we don't control them, and we are not responsible for them. Your use of a connected service is between you and that provider.
Not a medical or emergency service
Thrivin Hive includes features for storing medical, safety, and emergency information so it's easier to find when you need it. These features are for your convenience and preparation only.
Thrivin Hive is not a medical device, not a medical, healthcare, or emergency-response service, and not a substitute for professional advice, diagnosis, treatment, or care. Do not rely on the Service to deliver time-critical alerts or to be available at any given moment. In an emergency, contact your local emergency services (for example, 911) and qualified professionals. You are solely responsible for verifying the accuracy of any health or emergency information you store or rely on.
Our intellectual property
The Service itself — our software, design, user interface, branding, logos, and content we provide — is owned by whyuascii LLC and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service as intended. These Terms don't grant you any other rights in our brand or software.
If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them to operate and improve the Service, without any obligation to you.
Copyright complaints (DMCA)
We respect intellectual-property rights and respond to notices of alleged infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice to our designated agent at dmca@thrivinhive.com that includes: your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and its location; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and you are authorized to act.
We may remove allegedly infringing content and terminate repeat infringers' accounts. If you believe your content was removed in error, you may submit a counter-notice with the information the DMCA requires.
Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Service or its servers are free of harmful components, and we are not responsible for decisions you make based on information stored in the Service. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
Limitation of liability
To the fullest extent permitted by law, whyuascii LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business, arising from or related to your use of or inability to use the Service, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or fifty U.S. dollars (US$50). These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow these limits, so they may not fully apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless whyuascii LLC and its owners, employees, and suppliers from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your violation of these Terms or any law, your Content, or your violation of the rights of another person — including information you store about other people without the right to do so.
Dispute resolution, arbitration, and class-action waiver
Please read this section carefully. It affects your legal rights.
Informal resolution first. Before starting an arbitration, you agree to try to resolve the dispute informally by emailing legal@thrivinhive.com with a description of the dispute. We'll try in good faith to resolve it within 60 days.
Binding arbitration. If we can't resolve a dispute informally, you and whyuascii LLC agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property. The arbitration will be administered by a recognized arbitration provider under its consumer rules, seated in the State of Florida (or conducted remotely, or where you reside, as the provider's rules allow), and judgment on the award may be entered in any court with jurisdiction.
Class-action waiver. You and whyuascii LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
30-day opt-out. You may opt out of this arbitration agreement by emailing legal@thrivinhive.com within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect any other part of these Terms.
Jury-trial waiver. To the extent a dispute proceeds in court despite this section, you and whyuascii LLC waive any right to a jury trial. This section survives termination.
Suspension and termination
You may stop using the Service and delete your account at any time. Deleting your account removes Your Content from the active Service, subject to limited backup retention and any records we must keep by law (see the Privacy Policy).
We may suspend or terminate your access if you materially breach these Terms, if your use puts the Service or others at risk, or if we are required to by law. Where practical and lawful, we will give you notice. Sections that by their nature should survive termination — including content licenses you've granted, disclaimers, limits of liability, indemnification, and dispute resolution — will survive.
Changes to the Service and these terms
We're actively building Thrivin Hive, so the Service may change over time. We may update these Terms as the Service evolves or the law changes. If we make material changes, we will take reasonable steps to notify you — for example, by email or an in-app notice — before they take effect. Your continued use of the Service after changes take effect means you accept the updated Terms. The "last updated" date above shows when they last changed.
Governing law
These Terms are governed by the laws of the United States and the State of Florida, where whyuascii LLC is organized, without regard to conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods. Subject to Section 15, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction — unless the law of your place of residence grants you rights that cannot be waived.
Miscellaneous
These Terms and the Privacy Policy are the entire agreement between you and whyuascii LLC about the Service and supersede any prior agreements. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. We are not liable for delays or failures caused by events beyond our reasonable control. You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that a communication be in writing.
